By accessing or using any website, product, or service provided by BNG Infotech Private Limited ("BNG Infotech," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, customers, and others who access or use our services, including but not limited to eFacto®, LOZICS®, eFacto® ONE, and any related websites or platforms.

BNG Infotech develops and provides cloud-based enterprise resource planning (ERP) software solutions for retail, distribution, manufacturing, logistics, and transport industries. Our services include: • Software as a Service (SaaS) access to eFacto®, LOZICS®, and eFacto® ONE platforms • Implementation, customisation, and configuration services • Technical support and maintenance • Training and consulting services • Data migration and integration services We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for: • Safeguarding your account credentials and not sharing them with unauthorised parties • All activities that occur under your account • Immediately notifying us of any unauthorised use of your account • Ensuring that your use complies with all applicable laws and regulations We reserve the right to suspend or terminate accounts that violate these terms or that have been inactive for an extended period.

All intellectual property rights in our services, including but not limited to software, documentation, trademarks (eFacto® and LOZICS® are registered trademarks), trade secrets, and proprietary technology, are owned by BNG Infotech Private Limited. Your subscription or licence grants you a limited, non-exclusive, non-transferable right to use our software for your internal business purposes only. You may not: • Copy, modify, distribute, sell, or lease any part of our services • Reverse engineer, decompile, or attempt to extract the source code • Use our trademarks or branding without prior written consent • Sub-license or transfer your access rights to third parties

You retain all rights to your business data entered into our platforms. We process your data solely to provide and improve our services, in accordance with our Privacy Policy. We implement industry-standard security measures to protect your data. However, you are responsible for maintaining your own backups and for the accuracy of data you input. Subscription fees are billed in advance on a monthly or annual basis, as specified in your service agreement. All fees are quoted in Indian Rupees (INR) unless otherwise agreed. • Payments are due within 30 days of invoice date unless otherwise specified • Late payments may incur interest at 1.5% per month • We reserve the right to suspend services for accounts with overdue payments exceeding 60 days • Prices may be revised with 30 days' prior written notice • All applicable taxes (GST) will be charged in addition to the listed price

We strive to maintain 99.9% uptime for our cloud-hosted services. Scheduled maintenance windows will be communicated in advance. Our support services are available 24/7 with response times as outlined in your service agreement and our Support page. Service level commitments vary based on your subscription tier.

To the maximum extent permitted by applicable law: • BNG Infotech's total liability shall not exceed the fees paid by you in the 12 months preceding the claim • We are not liable for indirect, incidental, special, consequential, or punitive damages • We are not liable for loss of data, revenue, or business opportunities arising from service interruptions • We do not warrant that our services will be uninterrupted, error-free, or free of harmful components These limitations apply regardless of the legal theory under which liability is asserted.

Either party may terminate the service agreement with 30 days' written notice. Upon termination: • You will have 30 days to export your data from our platforms • All outstanding fees become immediately due and payable • We will securely delete your data within 90 days of termination, unless required by law to retain it • Provisions relating to intellectual property, confidentiality, and limitation of liability survive termination

These terms are governed by the laws of India. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. We encourage resolution of disputes through good-faith negotiation. If a dispute cannot be resolved amicably within 30 days, either party may pursue arbitration under the Arbitration and Conciliation Act, 1996.

We may update these Terms of Service from time to time. We will notify you of material changes via email or through our platforms at least 30 days before they take effect. Your continued use of our services after the effective date of revised terms constitutes acceptance of the changes.
